Godiva on sale

Campbell's Godiva May Get $1 Billion Bids From Hershey, Wrigley
2007-08-10 00:09 (New York)

By Chris Burritt and Josh Fineman
Aug. 9 (Bloomberg) -- Campbell Soup Co.'s Godiva chocolate unit may attract bids of as much as $1 billion from Hershey Co., Wm. Wrigley Jr. Co. and other consumer-goods companies seeking to accelerate growth with premium-priced chocolates.
``We expect a vigorous bidding process,'' Christopher Growe, an AG Edwards & Sons Inc. analyst in St. Louis, wrote yesterday after Campbell, the world's biggest soupmaker, said it may sell the division.
Hershey, which sells namesake chocolates; Mars Inc., the closely held maker of Snickers bars; and gum manufacturer Wrigley may compete with Cadbury Schweppes Plc in pursuing Godiva. Sales from costlier chocolates are rising faster than candies and gums sold in supermarkets and discount stores, analysts said.
``They should get a pretty sweet price for it -- a billion dollars at a minimum,'' said Marinann Montagne, an analyst at Thrivent Asset Management in Minneapolis, which manages $70.6 billion, including Campbell shares.
Godiva's Double Chocolate Raspberry Truffles and Dark Lion of Belgium butterscotch-caramel chocolates may also attract interest from companies as varied as Coca-Cola Co. and LVMH Moet Hennessy Louis Vuitton SA, the world's largest luxury-goods maker, analysts said.
Kirk Saville, a Hershey spokesman, and Coca-Cola spokesman Charlie Sutlive declined to comment on the speculation, as did representatives from Cadbury, Wrigley, Mars and LVMH.
Campbell spokesman Anthony Sanzio declined to comment, other than to say a sale is among the options the company is considering for Godiva.

Rising Sales

Godiva, owned by Campbell for almost 40 years, generated $500 million in sales, or about 7 percent of the soupmaker's $7.3 billion in revenue last year. Annual operating profit from Godiva is $55 million, estimated Eric Katzman, a Deutsche Bank Securities Inc. analyst in New York.
Hershey lacks ``a large-scale premium brand'' and has lost U.S. sales to Mars's Dove chocolate, David Palmer, a UBS Securities Inc. analyst in New York, wrote yesterday.
Hershey, based in Hershey, Pennsylvania, may have ``a small edge'' given that Godiva has management offices and a factory in Pennsylvania, Palmer said.

Experience Needed

Montagne said candy makers may be less adept at running Godiva's retail shops than a luxury-goods maker such as LVMH, which sells Hennessy cognac and Moet & Chandon champagnes.
Coca-Cola and Godiva last year started selling coffee-chocolate drinks called Godiva Belgian Blends, part of the soft-drink maker's attempts to create more profitable beverages.
Godiva competes globally against Swiss candy makers Nestle SA, Lindt & Spruengli AG, producer of Ghirardelli chocolates, and confections sold by U.S.-based Kraft Foods Inc.
In Brussels, headquarters of Godiva Europe, Kraft's Cote d'Or shop gives away samples of Belgian chocolate flowing from a fountain. Godiva also competes with small independent chocolatiers around the city.
In the U.S., Godiva operates more than 200 stores and sells candies in more than 1,000 Macy's Inc., Barnes & Noble Inc. and other retailers' locations, according to its Web site.
A 2.5-ounce box of four Godiva truffles goes for $8.25 at a Belk department store in Greensboro, North Carolina. That much money buys two 11-ounce bags of Hershey's Chocolate Truffle Kisses plus a 17-stick pack of Wrigley's Juicy Fruit gum at a Harris Teeter supermarket.
Godiva ``has some cache,'' Matt Arnold, an analyst with St. Louis-based Edward Jones & Co., said yesterday. ``They should have interest.''
