UKでも吹くプライベートエクイティへの逆風

有名ブロガーharryさんのブログの以前のエントリーにて、税務面から米国においてプライベートエクイティやヘッジファンドに対して逆風が吹き始めていることが紹介されていました。米国でのこうしたファンドを絞る動きが強まると、IPOがそうであったようにHF/PEもニューヨークやグリニッジからロンドンにその本拠を移す動きが強まるのではないかという連想が働きます。

しかし、今日のWSJの記事に因れば、PEが秘密主義過ぎるとか、ポートフォリオカンパニーの従業員を犠牲にして利益を得ていると、社会的批判を浴びるのは英国でも状況は同じようで、PEへの規制強化の動きが渦巻いているようです。現在、英国下院が主導する形で、今後のPEの投資先等の情報公開のあり方や課税強化についての検討が現在行われています。

英国でも課税が強化されてしまうと、米国がダメだからと英国にも逃げられず、ディールメイキングのみならずPEの経営陣や従業員個人の我が世の春もいよいよ本当に終わってしまうことになる? また他の国や都市がPE/HFの誘致に名乗りを上げてもハードウェア(金融街)とソフトウェア(英語を喋る人口)の問題からなかなか本格的な誘致は難しいでしょう。シンガポールや香港はPEやHFに対して好意的ですが、さすがにニューヨークから、ロンドンを飛び越えてアジアにドラスティックにグローバルな金融の中心が移転してしまうのはまだ早いように思いますし。あ、でもダブリンという手があるか…

また、個人的に興味深かったのは、この議会主導の検討委員会が、PEファンドに投資する機関投資家の側にもっとPEファームに支払うフィー水準を引き下げるよう"greater activism"を促していることです。PEに対して投資家が支払う手数料は、管理報酬と成功報酬(carried interest、日本では「キャリー」なんて言われます)に大別出来ますが、管理報酬は投資家が出資を約束した金額(commitment、「コミット」)の2%、成功報酬は売却時のキャピタルゲインの20%とほぼ相場が決まっています。確かに、機関投資家は今まで2%や20%は相場だと何の違和感もなく受け入れてきたところがあります。受益者に対するfiduciary dutyの一つとして、こちらも声を上げる必要は確かにありますね。2年前にPEが巨額のファンドレイズに成功した頃はそうした交渉は無理だったでしょう。3年後今のコミットメントが期限を迎え、新たなファンドレイズが始まると思いますが、デットマーケットのダウンサイドが長引けばコミットメントを使い切ることのできないまま期限を迎え、新ファンドのレイズを始めるファンドが続出することになるでしょう。そこが年金や基金等の機関投資家にとってのチャンスになるのではと想像しています。

Of Industry Contains
No Rules on Taxation

LONDON -- U.K. lawmakers signaled a reprieve for private-equity investors and funds on taxation and regulation in an interim report to be released today as part of an official probe into the industry.

The report follows a series of confrontational hearings by the U.K. Parliament's Treasury Select Committee that involved testimony from private-equity chiefs and labor representatives and were held as part of the government's investigation.

Despite indications that the committee would recommend stricter regulation and higher taxation of private-equity investors, the published report stops short of suggesting changes or sanctions.

At the center of the debate are claims that private-equity executives receive unjustifiably favorable tax treatment, both on their own income and on the deals they do, while treating employees at companies they have bought with little regard.

Recent approaches to large listed companies and high-street names such as Alliance Boots PLC and J Sainsbury PLC have highlighted the way these buyout shops do business and have catapulted a traditionally secretive industry into the public arena.

However, the parliamentary committee's report leaves issues of transparency and disclosure to former city banker and Bank of England director David Walker, who a few weeks ago produced a consultation paper proposing a voluntary set of guidelines for private-equity companies. Mr. Walker had been appointed by the British Private Equity and Venture Capital Association to lead a working party of industry executives to report on how private-equity firms could and should provide more information about their deals and about how they manage companies they own.

Private-equity firms typically charge investors 20% performance fees and an annual 2% management fee. The committee said more competition was needed and urged "greater activism" on the part of private-equity investors.

But the committee is deferring the issues of taxation of private-equity executives and their firms, and their use of loans for leveraged buyouts, pending further review by the U.K. Treasury and the department of Revenue and Customs.

"We have been cautious in our conclusions and recommendations, preferring in most cases to highlight areas for concern, or ask questions to which we can return in the autumn," Member of Parliament John McFall, chairman of the parliamentary committee, said in a statement.

The interim report is unclear about how the committee intends to pursue its investigation in the autumn, and leaves much in the hands of policy makers.

The committee's report is unlikely to be completed before October. Any changes to tax treatment of private-equity investors could therefore be delayed until spring.
